1. Acceptance and Eligibility
By accessing or using Taskforce, you agree to these Terms of Service. If you are using Taskforce on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You may not use Taskforce if doing so would violate applicable law, export restrictions, sanctions, or any contractual duty you owe to another party.
2. Services Covered by These Terms
Taskforce provides project and task management software, hosted and local runtime options, MCP integrations, API access, OAuth-based connector access, and related collaboration, billing, and support workflows.
We may update, improve, suspend, or discontinue features from time to time. We will use reasonable efforts to avoid material disruption, but some capabilities may change as the product evolves.
3. Accounts, Access, and Security
You are responsible for safeguarding your account credentials, access tokens, connector grants, and any workspace-level administrative access under your control. You are also responsible for activities that occur through your account or authorized integrations.
You must promptly notify Taskforce if you suspect unauthorized access, compromised credentials, or misuse of your workspace, token, or connector authorization.
4. Subscriptions, Billing, and Plan Changes
Some Taskforce features may require a paid subscription. Pricing, feature availability, billing intervals, and seat limits may vary by plan. When you subscribe, you agree to provide accurate billing information and to pay all charges associated with your selected plan.
Unless otherwise stated, subscriptions renew automatically at the end of each billing period. You can manage plan changes or cancellations through the product or by contacting support. Downgrades or cancellations may take effect at the end of the current billing cycle unless otherwise required by law.
Taxes, foreign exchange fees, and payment processor charges may apply depending on your location and payment method. We may suspend paid features if payment is overdue.
5. MCP, API, and Connector Usage
If you use Taskforce through MCP servers, APIs, or third-party connectors, you may only request scopes, permissions, and actions that are necessary for legitimate use of the service. You may not use integrations to bypass workspace permissions, impersonate users, scrape data at abusive volume, or interfere with system integrity.
You are responsible for ensuring that any AI client, automation, or third-party tool you connect to Taskforce is configured appropriately for your organization’s security, privacy, and compliance requirements.
6. Acceptable Use
You agree not to:
- use Taskforce to violate law, infringe rights, or facilitate fraud, abuse, or harassment;
- attempt to gain unauthorized access to any account, workspace, infrastructure, or data;
- interfere with service availability, rate limits, or security controls;
- upload or transmit malicious code, credential-harvesting content, or unlawful material;
- reverse engineer or probe the service except as permitted by law or with written authorization.
We may investigate suspected misuse and may suspend or terminate access where necessary to protect users, infrastructure, or legal compliance.
7. Customer Data and Your Responsibilities
You retain responsibility for the content, task data, documents, prompts, and instructions you submit to Taskforce or send through Taskforce-enabled integrations. You must ensure that you have the rights and permissions needed for any content you upload or process.
If you connect third-party AI tools or automations, you are responsible for reviewing the output they generate, the data they can access, and the instructions you give them through Taskforce.
8. Intellectual Property
Taskforce and its associated software, branding, design, documentation, and service materials are owned by Taskforce or its licensors and are protected by intellectual property law. These Terms do not transfer ownership of the service or any Taskforce intellectual property to you.
You grant Taskforce the limited rights needed to host, process, transmit, back up, and display your content as necessary to operate and improve the service, subject to the Privacy Policy and applicable law.
9. Service Availability and Beta Features
Certain Taskforce features may be labeled beta, preview, or early access. These features may change more frequently, may contain defects, and may have reduced support or uptime commitments.
We aim to provide a reliable service, but Taskforce is offered on an evolving basis and availability may be affected by maintenance, outages, third-party failures, or security events.
10. Disclaimers
To the maximum extent permitted by law, Taskforce is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted operation.
Taskforce does not guarantee that outputs from AI-connected workflows, connectors, or automations will be accurate, complete, lawful, or suitable for any specific use case.
11. Limitation of Liability
To the fullest extent permitted by law, Taskforce and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunity.
To the fullest extent permitted by law, the aggregate liability of Taskforce arising out of or relating to the service or these Terms will not exceed the greater of the amounts you paid to Taskforce for the service in the 12 months before the event giving rise to the claim, or CAD $100 if no fees were paid.
12. Indemnity
You agree to defend, indemnify, and hold harmless Taskforce from claims, liabilities, damages, judgments, losses, costs, and expenses arising out of your content, your misuse of the service, your violation of these Terms, or your violation of law or third-party rights.
13. Suspension and Termination
We may suspend or terminate access to Taskforce if you materially breach these Terms, create security or legal risk, fail to pay required fees, or use the service in a way that could harm users or infrastructure.
You may stop using the service at any time. Sections that by their nature should survive termination, including billing obligations accrued before termination, intellectual property, disclaimers, limitations of liability, indemnity, and governing law, will survive.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes will be resolved in the courts located in Ontario, Canada.
15. Changes to These Terms and Contact
We may update these Terms from time to time. If we make material changes, we will post an updated version with a revised effective date. Continued use of Taskforce after changes take effect means you accept the updated Terms.
